Introduction

These Terms of Use apply to our website www.salicerose.com (the “Site”) which is owned and controlled by Salice Rose Empire, Inc. (SaliceRose,” “we”, “our,” or “us”). The following terms of use, together with any documents incorporated by reference (this "Agreement") govern your use of the Site and any other sites, products, services, features, contents, mobile sites, and applications/or offered by us from time to time that link or otherwise refer to this Agreement. Failure to comply in full with the Agreement may result in cessation of access and use privileges and may result in legal actions taken against offending individuals and/or organizations in our sole discretion. We reserve the right to block your access to the Services for violation of this Agreement.  
BY USING THE SITE, YOU SIGNIFY YOUR ACCEPTANCE AND AGREEMENT TO BE BOUND TO THESE TERMS OF USE, OUR PRIVACY POLICY, AND OUR GUIDELINES AND RULES. IF YOU DO NOT AGREE WITH ANY OF THESE, YOU SHOULD NOT USE OUR SITE.

We also like to interact with you on third party sites where we post content or invite your feedback such as Facebook, Instagram, YouTube, Twitter, TikTok, and Spotify (“Third Party Sites”). We do not control Third Party Sites and our Terms of Use, Privacy Notice, Guidelines, or Rules do not apply to companies that SaliceRose does not own or control, or to the actions that SaliceRose does not employ or manage. You should always check the terms of use posted on Third Party Sites.

SaliceRose reserve the right to change or modify any of the terms and conditions contained in the Terms of Use, Guidelines and Rules from time to time at any time, without notice, and in its sole discretion. If SaliceRose decides to change these Terms of Use, SaliceRose will post a new version on the Site and update the date set forth above. Any changes or modifications to these Terms of Use, Guidelines or Rules will be effective upon posting of the revisions. YOUR CONTINUED USE OF THE SITE FOLLOWING POSTING OF ANY CHANGES OR MODIFICATIONS CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS AND IF YOU DO NOT AGREE WITH THESE CHANGES OR MODIFICATIONS, YOU MUST IMMEDIATELY CEASE USING THE SITES. The word "User(s)” means any Person (also referred to as "you" or "your") visiting, accessing, or using the Services. The word "Person(s)" means any natural person, sole proprietorship, corporation, partnership, or other entity whatsoever. The word "or" includes the word "and." The words "includes" or "including" means "includes, but is not limited to" or "including, but not limited to." 

Eligible Users

By using our Site, you represent that you are at least thirteen (13) years of age, and if you are under eighteen (18), that your parent or legal guardian agrees to be bound by this Agreement, and that you have not been previously removed from or prohibited from using our Services. For all Users and Persons over the age of 18 that visit, access, and/or using the Services, you represent and warrant that you are of legal age to form a binding contract with us and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.    
Users and the Person executing this Agreement on behalf of any User that is a proprietorship, corporation, partnership, or other entity, represent that such Person is duly authorized by all necessary and appropriate corporate or other action to execute the Agreement on behalf of User.  
To access the Services or some of the resources therein, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide is accurate, current, and complete. You agree that all information you provide to register for a Service or otherwise, including through the use of any interactive features on the Services, is governed by the Privacy Notice, and you consent to all actions we take with respect to your personal information consistent with the Privacy Notice.  For purposes of this Agreement, "personal information" means information that relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or household.
Adult Content and Disclaimer

IN ORDER TO ACCESS CERTAIN ADULT CONTENT PORTIONS OF OUR SITE, YOU MUST BE 18 YEARS OF AGE OR OLDER. ACCESS TO ADULT CONTENT WILL ONLY BE GRANTED AFTER COMPLETION OF AN AGE VERIFICATION PROCESS.

You acknowledge that you are aware that some portions of our Site contain adult material, and you agree to take this into account when deciding where to access and view these portions of our Site. We will not be responsible to you if you suffer any loss or damage as a result of your accessing or viewing portions of our site containing adult material in a way which places you in breach of any contract you have with a third party (for example, your employment contract) or in breach of any applicable law.

SALICEROSE actively protects its rights to the Content to the fullest extent of the law. You may not use such Content except as provided in this Agreement.
You may use the Services online and solely for your personal, non-commercial use. No other use is permitted. You may not, for example, republish the Content on any Internet, Intranet, or Extranet site or incorporate the Content in any database, compilation, archive, or cache. You may not distribute any of the Content to others, whether or not for payment or other consideration, and, unless explicitly permitted on the Services, you may not modify, copy, frame, reproduce, sell, publish, transmit, display, download, share, or otherwise use any portion of the Content without the prior written consent of SALICEROSE. For information on requests to use the Content for any purpose other than as permitted in this paragraph, please contact us at info@salicerose.com. Any use of the Services not expressly permitted by this Agreement is a breach of this Agreement and may violate copyright, trademark, and/or other laws.
The Services contain data and other information including written words (collectively, the "Data"). The Data may be generated by SALICEROSE or gathered by SALICEROSE from other sources. You acknowledge and agree that the Data are highly proprietary in nature and that unauthorized copying, transfer, or use may cause SALICEROSE or its affiliates, agents, information providers, and licensors irreparable injury that cannot be adequately compensated for by means of monetary damages. You agree that any breach of the Agreement may be enforced by SALICEROSE by means of equitable relief (including, but not limited to, injunctive relief) in addition to any other rights and remedies available to it. You may not frame or utilize framing techniques that involve any Content, trademark, logo, copyrighted material, or other proprietary information (including images, text, page layout, or form) of any portion of the Services without our express prior written consent.
Product Information

The products displayed on our Site or any Third-Party Sites can be ordered and delivered only within the U.S. and certain select countries. All prices displayed on any site are quoted in U.S. Dollars and are valid and effective only in the U.S. Reference to any products, services, processes or other information by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by SaliceRose. 

Prohibited Uses

You may only use the Services for lawful purposes and in accordance with this Agreement. You specifically agree to not:
Use SaliceRose except for your own personal use;
Use SaliceRose in a manner and for a purpose that is lawful;
Use SaliceRose in any way which may exploit, harm, or attempt to exploit or harm any individual under 18 years old, for example by exposing them to inappropriate Content;
Use SaliceRose to stalk, bully, abuse, harass, threaten or intimidate anyone else.
Use SaliceRose to engage in misleading or deceptive conduct, or conduct that is likely to mislead or deceive any other User;
Impersonate us, one of our employees, another User, or any other person or company or falsely state or suggest any affiliation, endorsement, sponsorship between you and us or any other person or company;
Decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of SaliceRose.
Use SaliceRose in a way that could adversely affect our systems or security or interfere with any other User’s use of SaliceRose, including their ability to engage in real-time activities through SaliceRose.
Use any automated program, tool or process (such as web crawlers, robots, bots, spiders, and automated scripts) to access SaliceRose or any server, network or system associated with SaliceRose, or to extract, scrape, collect, harvest or gather Content or information from SaliceRose;
Use SaliceRose' name, logo or any related or similar names, logos, product and service names, designs, or slogans other than in the limited ways which are expressly permitted in the Terms of Use or with our prior written agreement;
Attempt to disable, overburden, damage, or impair the Site;
Reverse-engineer, disassemble, or decompile the Services and/or any content, data, and/or materials therein, or attempt to do the same;
Use any device, software, or routine that interferes with the proper working of the Services or otherwise attempt to interfere with the proper working of the Services;
Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful or otherwise attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server(s) on which the Services are stored, or any server, computer, or database connected to the Services;
Attack the Services via a denial-of-service attack, a distributed denial-of-service attack, or another similar attack; and
Participate in coordinated efforts or group activities with others in order violate or to exceed these use limitations.  Failure to comply with these limitations will result in cessation of access and use privileges and may result in legal action against the offending individuals and/or organizations at the discretion of SaliceRose.
Third-Party Content and Third-Party Sites
SaliceRose may provide content of third parties (“Third Party Content”), or links to Third Party Sites, as a service to those interested in this information. We do not monitor, approve or have any control over any Third-Party Content or the Third-Party Sites and the inclusion of links to Third Party Content or Third-Party Sites does not imply any association or relationship between us and such third party. We do not guarantee, endorse, or adopt the accuracy or completeness of any Third-Party Content or any Third-Party Site. We are not responsible for updating or reviewing Third Party Content or Third-Party Sites. Your use Third Party Content and Third-Party Sites at your own risk.  

Mobile Services

If you access the Site via your mobile phone, we do not currently charge for this access. Additionally, you may receive text messages or calls from us related to certain products or services. Please be aware if you access the Site via your mobile phone or provide a mobile phone number to us in order to be contacted by voice or text message, your carrier’s normal rates and fees, such as text messaging fees or data charges, will still apply.  

Reservation of Rights

SaliceRose reserves the right, at any time, without notice and in its sole discretion, to terminate your use of the Site and to block or prevent your future access to and use of the Site. SaliceRose may access, preserve, and disclose your personal information if required to do so by law or in good faith belief that such access, preservation, or disclosure is reasonably necessary to (i) comply with a legal process, (ii) enforce these Terms of Use, Guidelines, or Rules, (iii) respond to your requests for customer service, or (iv) protect the rights, property, or personal safety of SaliceRose (and its employees), its users and the public.

Disclaimer of Warranties

SALICEROSE IS PROVIDING THE SITE AND ITS CONTENTS ON AN “AS-IS” BASIS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE OPERATION OF THE SITE, CONTENT, MATERIALS OR PRODUCTS INCLUDED ON THE SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, SALICEROSE DISCLAIMS ALL SUCH REPRESENTATIONS AND WARRANTIES, INCLUDING FOR EXAMPLE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN ADDITION, SALICEROSE DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THE SITE IS ACCURATE, COMPLETE, OR CURRENT. Please be advised that some jurisdictions may not allow the exclusion of implied warranties and conditions, so some of the above exclusions may not apply to you but shall apply to the maximum extent permitted by applicable laws.  

Disclaimer of Liabilities

SALICEROSE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE. THIS IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, AND CLAIMS OF THIRD PARTIES. This provision does not apply to New Jersey residents.  
  
Indemnification

You agree to defend, indemnify and hold harmless SaliceRose (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), from all claims, demands, losses, liabilities, costs, expenses, obligations and damages including reasonable legal fees, arising out of (a) your misuse of the Site; (b) your violation of any term of these Terms of Use; (c) a breach of your representations and warranties set forth above regarding Content; (d) your violation of any law or the rights of a third party (including, without limitation, any copyright, property, or privacy right. This indemnification obligation will survive the termination of these Terms of Use and your misuse of the Site. 

Privacy

By submitting your email address, you agree that SaliceRose and its third-party service providers may use your email address to contact you for promotional marketing, administrative purposes, and for any other purpose permitted or required by law. Our Privacy Notice provides further details on the manner in which we may collect and use personal information about you, including any information you supply in connection with your use of the Site.  

Waiver

No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision.   



English Language

It is the express wish of the parties that these Terms of Use and all related documents be drawn up in English.

Dispute Resolution

If a dispute should arise between you and SaliceRose, we want to provide you with a resolution that is efficient and cost effective using our customer service team. Almost all customer service disputes can be resolved. If your dispute cannot be resolved using our customer service team, these Terms describe how we shall proceed with the resolution of the dispute.  

The Parties agree to resolve any disputes peaceably and amicably first. Should any dispute arise over the application or interpretation of the Agreement, the Parties shall meet to discuss their difference and arrive at a mutual Agreement. If a mutual Agreement cannot be reached within sixty (60) days by employing the above methods, the Parties shall consult a private mediator agreeable to both Parties. Reasonable fees for the mediator shall be split equally between the Parties. Each Party is responsible for their own attorney’s fees resulting in the mediation. If any such dispute cannot be resolved through mediation with the 90-day period, any and all claims and actions arising of or relating to this Agreement or relationship of the Parties, shall be exclusively litigated in the Los Angeles County, California. Each Party shall be responsible for their own attorney’s fee resulting from such litigation.

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND SALICEROSE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. The preceding sentence does not apply to New Jersey residents.  

Class Action Waiver

BOTH YOU AND SALICEROSE WAIVE THE RIGHT TO BRING ANY CONTROVERSY, CLAIM, OR DISPUTE ARISING OUT OF OR RELATING IN ANY WAY TO YOUR USE OF THE SERVICES OR PURCHASES THROUGH THE SERVICES AS A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION, OR TO PARTICIPATE IN A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION REGARDING ANY SUCH CLAIM BROUGHT BY ANYONE ELSE
Waiver of Jury Trial

THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JURY, INSTEAD ELECTING THAT THE DISPUTE BE RESOLVED BY A JUDGE.  


Choice of Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law rules.

Severability

The provisions of these Terms of Use are intended to be interpreted in a manner which makes them valid, legal, and enforceable. In the event that any provision is found to be partially or wholly invalid, illegal, or unenforceable, such provision shall be modified or restricted to the extent and in the manner necessary to render it valid, legal, and enforceable. It is expressly understood and agreed between the parties that such modification or restriction may be accomplished unilaterally by SaliceRose, or alternatively, by disposition of a court of law. If such provisions cannot under any circumstances be so modified or restricted, they shall be excised from the Terms of Use without affecting the validity, legality, or enforceability of any of the remaining provisions.  

Entire Agreement

This Agreement, the Privacy Notice, and the Class Action Waiver, and any other required documents for use of the Services, constitute the sole and entire agreement between you and us with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties (both written and oral) with respect to the Services.

Your continued use of this Site after a posted change in these Terms will constitute your acceptance of and agreement to such changes.

These Terms are an integral part of the Website Terms of Use that apply generally to the use of our Site. You should also carefully review our Privacy Notice before placing an order for products or services through this Site (see Section 9).

2. Order Acceptance and Cancellation.

You agree that your order is an offer to buy, under these Terms all products listed in your order. All orders must be accepted by us, or we will not be obligated to sell the products to you. We may choose not to accept any orders in our sole discretion. After having received your order, we will send you a confirmation email with your order number and details of the items you have ordered. Acceptance of your order and the formation of the contract of sale between Salice Rose Empire, Inc. and you will not take place unless and until you have received your order confirmation email. 

3. Prices and Payment Terms. 

(a) All prices posted on this Site are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and in your order confirmation email. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors.

(b) Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order. We accept credit cards, debit cards, Apple Pay, and Google Pay for all purchases. You represent and warrant that (i) the credit card or debit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card or debit card for the purchase, (iii) charges incurred by you will be honored by your credit card or debit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

4. Shipments; Delivery; Title and Risk of Loss. 

(a) We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process.

(b) Title and risk of loss pass to you upon our transfer of the products to the carrier/delivery. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments or packages lost during shipping.

5. Returns and Refunds.

There are no refunds for products purchased on our Site. The following products are non-returnable and nonrefundable: Salice’s closet items, posters, cosmetics, shoes, undergarments (e.g., bras, underwear, socks), hats, beanies, swimsuits, products on sale, 18+ Page Preowned Items, and discontinued items. You may return all other products for store credit subject to the following terms:

(a) Returns must be received by us within 30 days of the shipping date of the original order;
(b) You will be responsible for all shipping and handling charges on any product being returned, defective products are covered in 6(e);
(c) You bear the risk of loss during shipment. We therefore strongly recommend that you fully insure your return shipment against loss or damage and that you use a carrier that can provide you with proof of delivery for your protection;
(d) The product must be returned in its original condition and have the original tags attached to it;
(e) You must include a copy of the original purchase date receipt; and
(f) Your store credit will be processed within approximately 10 business days of our receipt of the product(s). 

6. LIMITED WARRANTY. 

THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. 

WE WARRANT THAT DURING THE WARRANTY PERIOD, NEW (NOT PREOWNED) PRODUCTS PURCHASED FROM THE SITE WILL BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP. 

WE LIMIT THE DURATION AND REMEDIES OF ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE DURATION OF THIS LIMITED WARRANTY.

SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

PLEASE NOTE THAT ITEMS SOLD ON THE 18+ PAGE ARE PERSONAL PREOWNED ITEMS THAT WERE ACTUALLY USED OR WORN. PLEASE UNDERSTAND THAT ANY ITEMS PURCHASED FROM THE 18+ PAGE ARE PURCHASED “AS IS.” THUS, THERE IS NO WARRANTY FOR 18+ PAGE PERSONAL PREOWNED ITEMS. 

(a) Who May Use This Warranty?
This limited warranty extends only to the original purchaser of products from the Site. It does not extend to any subsequent or other owner or transferee of the product.

(b) What Does This Warranty Cover?
This limited warranty covers during the Warranty Period (as defined below) defects in materials and workmanship in products purchased from the Site.

(c) What Does This Warranty Not Cover?
This limited warranty does not cover any damages due to:
(i) transportation;
(ii) storage;
(iii) improper use;
(iv) failure to follow the product instructions or to perform any preventive maintenance;
(v) modifications;
(vi) normal wear and tear; or
(vii) external causes such as accidents, abuse, or other actions or events beyond our reasonable control.

(d) What Is the Period of Coverage?
This limited warranty starts on the date of your purchase and lasts for 30 days the "Warranty Period". The Warranty Period is not extended if we replace a warranted product. We may change the availability of this limited warranty at our discretion, but any changes will not be retroactive.

(e) What Are Your Remedies Under This Warranty Concerning Defective Products?
Returning defective products is simple. First, email us at info@salicerose.com a photograph of your defective item and in the subject of the email write your order number. Next we will either: (i) replace such products free of charge or (ii) provide you with store credit if the product is out of stock. We will also pay for shipping and handling fees to provide you with a replacement product.

(f) Limitation of Liability
THE REMEDIES DESCRIBED ABOVE ARE YOUR SOLE AND EXCLUSIVE REMEDIES AND OUR ENTIRE OBLIGATION AND LIABILITY FOR ANY BREACH OF THIS LIMITED WARRANTY.  OUR LIABILITY WILL UNDER NO CIRCUMSTANCES EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE DEFECTIVE PRODUCT THAT YOU HAVE PURCHASED THROUGH THE SITE, NOR WILL WE UNDER ANY CIRCUMSTANCES BE LIABLE FOR ANY LOSS OF PRODUCTION, WORK, DATA, USE, BUSINESS, GOODWILL, REPUTATION, REVENUE OR PROFIT, ANY DIMINUTION IN VALUE, COSTS OF REPLACEMENT GOODS, OR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES, WHETHER DIRECT OR INDIRECT. WE ARE NOT RESPONSIBLE FOR ANY ALLERGIES OR SENSITIVITIES TO ANY MATERIALS USED TO MAKE OUR PRODUCTS.

(g) What Can You Do in Case of a Dispute with Us?
The informal dispute resolution procedure detailed in Section 12 is available to you if you believe that we have not performed our obligations under this limited warranty or these Terms.

7. Goods Not for Resale or Export.

 You agree to comply with all applicable laws and regulations of the various states and of the United States. You represent and warrant that you are buying products or services from the Site for your own personal use only, and not for resale or export.  

8. Intellectual Property Use and Ownership.

You acknowledge and agree that:

(a)All uses on this Site of the terms "sell," "sale," "resell," "resale," "purchase," "price" and the like mean the purchase or sale of a license. Each product marketed on this Site is made available solely for license, not sale, to you and other prospective customers.

(b) Salice Rose Empire, Inc. is and will remain the sole and exclusive owner of all intellectual property rights in and to each product made available on this Site and any related specifications, instructions, documentation or other materials, including, but not limited to, all related copyrights, trademarks and other intellectual property rights. You do not and will not have or acquire any ownership of these intellectual property rights in or to the products made available through this Site, or of any intellectual property rights relating to those products or services.

(c) By making a comment, providing product or service feedback, or sharing with us your customer experience (“Customer Feedback”), directly or through a social media service, you grant Salice Rose Empire, Inc. permission to post and repost your Customer Feedback on any of Salice Rose Empire, Inc.’s social media pages. You acknowledge that you will not be entitled to any compensation as Salice Rose Empire, Inc. does not pay for Customer Feedback. 

9. Privacy.

We respect your privacy and are committed to protecting it. Our Privacy Notice, located at www.salicerose.com, governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site.

10. Force Majeure.

Neither party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for any of your obligations to make payments to us hereunder), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party's ("Impacted Party") control, including, without limitation, the following force majeure events ("Force Majeure Event(s)"): (a) acts of God; (b) flood, fire, earthquake, epidemics, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades in effect on or after the date of this Agreement; (f) national or regional emergency; (g) strikes, labor stoppages or slowdowns, or other industrial disturbances; (h) telecommunication breakdowns, power outages or shortages, lack of warehouse or storage space, inadequate transportation services, or inability or delay in obtaining supplies of adequate or suitable materials; and (i) other events beyond the control of the Impacted Party. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause. 

11. Governing Law and Jurisdiction.

 All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.

12. Dispute Resolution.

(a) All disputes arising out of this agreement shall be submitted to mediation in accordance with the rules and procedures of Arts Arbitration and Mediation Services, a program of California Lawyers for the Arts.  If mediation is not successful in resolving all disputes arising out of this agreement, those unresolved disputes shall be submitted to final and binding arbitration.  The arbitrator shall be selected in accordance with the rules of Arts Arbitration and Mediation Services, a program of California Lawyers for the Arts.  If such services are not available, the dispute shall be submitted to the American Arbitration Association in accordance with the laws of the State of California.  The arbitrator’s award shall be final, and judgment may be entered upon it by any court having jurisdiction thereof.  Both arbitration and mediation shall occur in California.    

(b) TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND SALICEROSE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. The preceding sentence does not apply to New Jersey residents.  

(c) Class Action Waiver
BOTH YOU AND SALICEROSE WAIVE THE RIGHT TO BRING ANY CONTROVERSY, CLAIM, OR DISPUTE ARISING OUT OF OR RELATING IN ANY WAY TO YOUR USE OF THE SERVICES OR PURCHASES THROUGH THE SERVICES AS A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION, OR TO PARTICIPATE IN A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION REGARDING ANY SUCH CLAIM BROUGHT BY ANYONE ELSE

(d)Waiver of Jury Trial
THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JURY, INSTEAD ELECTING THAT THE DISPUTE BE RESOLVED BY A JUDGE.  

13. Assignment.

You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 13 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

14. No Waivers.

The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. 

15. No Third-Party Beneficiaries.

These Terms do not and are not intended to confer any rights or remedies upon any person other than you.

16. Notices.

(a) To You. We may provide any notice to you under these Terms by: (i) sending a message to the email address you provide or (ii) by posting to the Site. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current.

(b)To Us. To give us notice under these Terms, you must contact us by info@salicerose.com. Notices provided by registered or certified mail will be effective three business days after they are sent.

17. Severability.

The provisions of these Terms are intended to be interpreted in a manner which makes them valid, legal, and enforceable. In the event that any provision is found to be partially or wholly invalid, illegal, or unenforceable, such provision shall be modified or restricted to the extent and in the manner necessary to render it valid, legal, and enforceable. It is expressly understood and agreed between the parties that such modification or restriction may be accomplished unilaterally by us, or alternatively, by disposition of a court of law. If such provisions cannot under any circumstances be so modified or restricted, they shall be excised from the Terms without affecting the validity, legality, or enforceability of any of the remaining provisions.  

18. Entire Agreement.

Your order confirmation, these Terms, our Website Terms of Use and our Privacy Notice will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
